Terms of Service

These Terms govern your use of Greetly AI, provided by LEGAL ENTITY NAME ("036 Labs", "we", "us"). By creating an account, subscribing, or using the service, you agree to them. If you're agreeing on behalf of a venue or business, you confirm you have authority to bind it, and "you" means that business.

1. The service

Greetly AI lets venue staff create branded visuals — birthdays, celebrations, promotions, shoutouts — and send them to screens at the venue. It includes:

• the Greetly app, accessed through Telegram and through staff links and devices we provide;
• AI generation of visuals from the text and photos you supply;
• optional hardware, the Greetly Bridge and Greetly Player, which delivers visuals to your screens; and
• for some custom deployments, optional control of lighting and audio at the venue.

We may improve, change or retire features. We'll give reasonable notice before removing anything a paid plan depends on.

2. Accounts and staff

• A venue account is managed by its owner or manager, who controls which staff can use it.
• Each plan allows a set number of staff members, shown on the pricing page.
• You're responsible for everything done under your venue's account, including by your staff, and for keeping access details, PINs and staff links secure.
• Tell us promptly at [email protected] if you believe your account has been accessed without permission.

3. Plans, credits and payment

• Paid plans are billed monthly in advance, in US dollars, through Stripe, and renew automatically until cancelled.
• Each plan includes a monthly allowance of credits. Generating a new visual uses credits. Unused plan credits do not roll over — the allowance resets at each renewal.
• Credit packs are one-time purchases available to venues on a paid plan. Purchased credits carry over from month to month while your subscription stays active.
• All remaining credits, including purchased credit packs, are removed when a subscription ends. See the Cancellation Policy.
• Credits have no cash value, can't be transferred between venues, and can't be exchanged for money except as stated in the Refund & Dispute Policy.
• If a generation fails on our side, the credits it used are returned to your balance automatically.
• Sending a visual from your history to a screen again doesn't use credits, as long as your subscription is active.
• If a payment fails, new generations are paused until the payment is resolved.
• Prices may change. We'll tell you at least 30 days before a change applies to your plan, and it takes effect from your next billing period.

4. Free trials

Where we offer a trial, it includes a set number of credits at no charge and lets you try the full service. The trial ends when those credits are used. No payment is taken during a trial, and a trial never converts into a paid plan without you choosing one.

5. Your content

• You keep ownership of the text, photos and other material you or your guests submit ("Your Content").
• You give us permission to store, process and transform Your Content, and to send it to our service providers, only as needed to provide the service.
• You confirm you have the rights and permissions needed for everything submitted through your account — including consent from anyone identifiable in a photo.
• Subject to these Terms and your payment of fees, you may use the visuals Greetly creates for your venue for your venue's own promotion and display.

6. Guest submissions

Some features let staff share a link or QR code so a guest can add a message or photo. Guest submissions are not shown on any screen until a member of your staff reviews them and chooses to send them. **You're responsible for reviewing guest content before it's displayed at your venue.**

7. Acceptable use

You must not use Greetly AI to create, submit or display content that:

• is sexually explicit, or sexualises minors in any way;
• promotes hatred, harassment or violence against any person or group;
• is unlawful, defamatory, or infringes anyone's intellectual property or privacy;
• impersonates a person or business, or is designed to deceive;
• depicts a real person in a way they haven't agreed to.

You also must not attempt to access other venues' data, interfere with or overload the service, reverse engineer it, or resell it without our written agreement.

We use automated tools to screen submitted text and photos, but **no automated system is perfect**. Screening doesn't transfer responsibility for what's displayed at your venue. We may remove content, block generations, or suspend accounts that break these rules.

8. AI-generated output

Visuals are generated by AI and may contain errors — misspellings, unexpected imagery, or details that don't match your request. The app shows every visual to you before it goes on screen. Please check it before sending. We don't guarantee that output will be unique, and similar visuals may be generated for others.

9. Hardware

Hardware purchased from us, or supplied as part of a custom deployment, is covered by the Hardware Returns & Shipping policy. Devices are managed remotely by us so we can deliver updates and support. Don't tamper with, reflash or resell supplied devices unless we agree in writing.

10. Availability

We work to keep Greetly AI available, but we don't guarantee uninterrupted service. The service depends on your venue's internet connection and on third-party providers, including AI, payment and hosting services. Unless a separate written agreement says otherwise, no service level or uptime commitment applies.

11. Suspension and termination

• You can cancel at any time — see the Cancellation Policy.
• We may suspend or end access if you seriously or repeatedly breach these Terms, if payment remains unresolved, or if required by law. Where reasonable we'll warn you first.
• Sections that by their nature should survive termination — including content rights, disclaimers and limitation of liability — continue to apply.

12. Disclaimers

Except as expressly stated in these Terms, the service is provided **"as is" and "as available"**. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

13. Limitation of liability

To the fullest extent permitted by law:

• we're not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data; and
• our total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the event giving rise to the claim.

Nothing in these Terms limits liability that can't be limited under applicable law.

14. Indemnity

You'll defend and indemnify us against third-party claims arising from Your Content, content displayed at your venue, or your breach of these Terms.

15. Changes to these Terms

We may update these Terms. For material changes, we'll notify account owners at least 30 days before they take effect. Continuing to use the service after that date means you accept the updated Terms.

16. Governing law

These Terms are governed by the laws of the State of GOVERNING LAW STATE, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in GOVERNING LAW STATE, unless applicable law requires otherwise.
